These Terms and Conditions outline your use of our website (the "Site") and the services provided by OmniFunnels, including the 14-day free trial of OmniFunnels.ai ("Services"). By accessing or using the Site and Services, you agree to comply with and be bound by these Terms and Conditions.

2. Description of Services

 

OmniConversions provides various digital marketing services and a 14-day free trial of OmniFunnels. By opting into our services, you agree to adhere to the specific terms outlined for each service and these overarching Terms and Conditions.

 

3. 14-Day Free Trial

 

OmniConversions offers a 14-day free trial of OmniFunnels to clients who opt into any of our services. During the trial period, you have full access to OmniFunnels for free. If you are dissatisfied with our software or services within this period, you may cancel without incurring any fees. Failing to cancel within the 14-day trial period will initiate your subscription plan, and associated charges will apply.

 

4. Refund Policy

5. No Lock-In Contracts

 

OmniFunnels operates on a no-lock-in contract subscription model. There are no long-term commitments or contractual obligations for subscriptions. You have the flexibility to subscribe to our services on a month-to-month basis and can cancel at any time without incurring additional charges. Additional services require contract.

 

6. User Account

 

To access certain features of the Services, you may be required to create an account with OmniConversions. You are responsible for maintaining the confidentiality of your account information.

 

7. Payment and Billing

 

For services that are not part of the free trial, you agree to pay the fees associated with the selected services in accordance with OmniFunnels' pricing plans. Payment is due on a monthly basis, and charges will be automatically processed using the payment method on file.

 

8. Privacy Policy

 

Your use of the Services is governed by our Privacy Policy, available on our website.

 

By using the Services, you consent to the terms of the Privacy Policy.

 

9. Miscellaneous

9.1 No Waiver. A party’s failure to exercise any right under these Terms is not a waiver of that right. Any waiver must be in writing and signed by an authorised representative of the waiving party.

9.2 Eligibility; Minors. The Services are intended for individuals 18 years or older. If you are a parent/guardian and believe a minor has created an unauthorised account, contact hello@omnifunnels.ai
 and we will delete it.

9.3 Assignment. You may not assign or transfer these Terms (by law or otherwise) without our prior written consent. We may assign these Terms in connection with a re-organisation, merger, acquisition, or sale of assets.

9.4 Relationship of the Parties. The parties are independent contractors; nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.

9.5 Notices. Legal notices to OmniFunnels must be sent to hello@omnifunnels.ai
 (and are deemed given on receipt). We may provide notices to you via the email associated with your account or via in-product notifications.

9.6 Force Majeure. Neither party is liable for delays or failures caused by events beyond reasonable control (including outages of third-party hosting or telecoms) except for payment obligations.

9.7 Severability; Interpretation. If any provision is held invalid or unenforceable, it will be severed and the remainder will remain in effect. Headings are for convenience only.

9.8 Entire Agreement; Order of Precedence. These Terms (and any Order, Refund Policy, Acceptable Use Policy, and, where applicable, Data Processing Addendum) are the entire agreement regarding the Services and supersede prior communications. To the extent of conflict, an executed Order (if any) prevails over these Terms; otherwise these Terms prevail.

9.9 Publicity. Unless you opt out by emailing hello@omnifunnels.ai, you grant us a limited right to use your name and logo as a customer reference.

9.10 Export & Sanctions Compliance. You represent that you are not subject to Australian or other applicable sanctions and will not use the Services in violation of Australian export, sanctions, or anti-boycott laws.

9.11 Survival. Sections relating to fees, IP, confidentiality, privacy/security, disclaimers, indemnities, limitations of liability, and this Section 9 survive termination.

10. Governing Law; Venue; Consumer Rights

10.1 Governing Law. These Terms are governed by the laws of the State of Victoria, Australia, and applicable federal laws.

10.2 Venue. Subject to Section 11, the parties submit to the exclusive jurisdiction of the courts of Victoria (and their appeals) for disputes not otherwise resolved.

10.3 Australian Consumer Law. Nothing in these Terms excludes, restricts, or modifies any consumer rights or guarantees under the Australian Consumer Law to the extent they cannot be excluded.

11. Dispute Resolution

11.1 Good-Faith Resolution. Before commencing proceedings, the parties will use reasonable efforts to resolve disputes through good-faith negotiations for 14 days after written notice.

11.2 Mediation (Optional but Recommended). If not resolved, either party may propose mediation administered by the Resolution Institute or similar body in Melbourne, with fees shared equally unless agreed otherwise.

11.3 Arbitration (Business Customers Only). For disputes arising from business-to-business use of the Services (i.e., not involving a consumer or “small business contract” under the ACL), either party may elect binding arbitration under the ACICA Arbitration Rules, seated in Melbourne, in English, before one arbitrator, with costs as determined by the tribunal. Judgment on the award may be entered in any court of competent jurisdiction.

11.4 Consumers & Small Businesses. Arbitration is voluntary for consumers and small businesses; nothing in these Terms prevents such users from commencing or participating in proceedings in a court or tribunal of competent jurisdiction.

11.5 Injunctive Relief. Either party may seek urgent injunctive or equitable relief at any time from a court of competent jurisdiction.

11.6 No Class-Action Waiver. To reflect Australian law, these Terms do not restrict any party’s rights to bring or participate in representative proceedings where permitted by law.

12. Changes to Terms and Services

 

Omnifunnels reserves the right to update or modify these Terms and Conditions at any time without prior notice. Any changes will be effective immediately upon posting on the Site. Additionally, We may update or discontinue the Services at any time.
